About PaisleyFinn

PaisleyFinn ("we", "us", "our") is a sole trader web design and social media management business operated by Josh Watterson, based in the United Kingdom.

By engaging our services — whether through our website, a direct enquiry, or a signed proposal — you ("the client", "you") agree to be bound by these Terms & Conditions. Please read them carefully before proceeding.

Services

PaisleyFinn provides the following services to UK-based businesses:

The specific scope, deliverables, and pricing for your project will be confirmed in a written proposal or order confirmation prior to work commencing.

Pricing & Payment

One-off setup fees (where applicable) are due before work commences. No design or development work will begin until the setup fee has been received.

Monthly subscription fees are billed in advance on a rolling basis. Your first month's payment is due at sign-up. Subsequent payments are taken on the same date each month.

One-off project fees are payable as follows unless otherwise agreed in writing:

Payment methods: Bank transfer (BACS) or card payment via invoice link. Payment terms are 7 days from invoice date unless otherwise stated.

Late payments may result in work being paused. Invoices unpaid after 14 days may incur a late payment charge in line with the Late Payment of Commercial Debts (Interest) Act 1998.

All prices are quoted exclusive of VAT. PaisleyFinn is not currently VAT registered; no VAT will be charged unless we notify you otherwise.

Cancellation & Refunds

Monthly plans: Either party may cancel a rolling monthly plan with written notice (email is sufficient). Notice given before your next billing date will prevent that month's charge. No refunds are issued for the current billing month once payment has been taken.

One-off projects: If you cancel after work has commenced, the deposit is non-refundable. If work has progressed beyond the deposit value, you may be invoiced for additional hours at our standard rate.

Project abandonment: If a project becomes inactive for 30 or more days due to a lack of client response or client-side delays, we reserve the right to treat the project as abandoned. Any payments made to date are non-refundable in this circumstance.

We reserve the right to terminate a contract with immediate effect if a client behaves in a manner that is abusive, threatening, or otherwise unacceptable. In such cases, a pro-rata refund for unused services may be issued at our discretion.

Your Responsibilities

To enable us to deliver your project on time and to a high standard, you agree to:

You are solely responsible for the accuracy, legality, and appropriateness of all content published on your website or social media channels.

Intellectual Property

Essentials monthly plan: The website design and code remains the property of PaisleyFinn while your subscription is active. If you cancel, we will provide a reasonable handover period (up to 14 days) during which you may export your content. We are not obligated to transfer the underlying code or design files.

One-off project: Once final payment has been received in full, full ownership of the website files transfers to you. We retain the right to display the work in our portfolio unless you request otherwise in writing.

Social media content: Written copy and graphic designs created for your social media accounts become your property once published and paid for in that billing period.

Third-party assets: Any stock images, fonts, or plugins used in your project are subject to their own licensing terms. We will not use assets that require paid licences without your knowledge, and will flag any licence costs in advance.

Portfolio use: We may feature your website or social media work in our portfolio and case studies unless you opt out. To opt out, simply let us know in writing before or during the project.

Revisions & Scope

Each project proposal outlines the number of included revision rounds. Changes requested outside the agreed scope — including significant structural or content changes after a stage has been approved — will be quoted separately and may incur additional charges.

Social Starter plan: Each post includes one round of revisions. Revisions must be requested before a post is scheduled or published. Changes to posts already scheduled or live are not included.

Where additional work is required beyond the agreed scope, we will provide a written estimate before proceeding. Work will not commence on out-of-scope requests until agreed in writing.

Hosting & Uptime

For clients on the Essentials monthly plan, hosting and SSL are included. We aim to maintain high availability, but we cannot guarantee 100% uptime. Scheduled maintenance will be carried out with advance notice where possible.

We are not liable for outages caused by third-party hosting providers, domain registrars, or other services outside our direct control.

For one-off projects where the client arranges their own hosting, we will assist with deployment but are not responsible for ongoing hosting performance, security, or uptime after handover.

Limitation of Liability

To the fullest extent permitted by law, PaisleyFinn's total liability to you for any loss or damage arising out of or in connection with our services shall not exceed the total fees paid by you in the three months preceding the claim.

We are not liable for:

Important: We do not guarantee specific results from SEO, social media management, or advertising. We will always work in your best interests, but digital marketing outcomes depend on many factors beyond our control.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Confidentiality

We treat all client information as strictly confidential. We will not share your business information, content, strategies, or data with any third party without your prior consent, except where required by law.

In turn, you agree to keep any pricing, processes, or proprietary methodologies we share with you confidential and not to disclose them to competitors or third parties.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We will always attempt to resolve disputes amicably before any formal proceedings are initiated.

Changes to These Terms

We may update these Terms & Conditions from time to time. Where changes are material, we will notify active clients by email with at least 14 days' notice before the changes take effect.

Continued use of our services after the effective date of any changes constitutes acceptance of the updated terms.
